1. Acceptance of Terms

By accessing or using FlipFlow (“we,” “us,” “our,” or “FlipFlow”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

2. Description of the Service

FlipFlow is a web and mobile-first application designed to help musicians upload, organize, rehearse, and perform sheet music. Features may include MusicXML support, image uploads, setlists, performance mode, metronome tools, navigation controls, and instrument-specific overlays.

3. Eligibility

You must be at least 13 years old and legally capable of entering into a binding agreement to use FlipFlow. By using the Service, you represent that you meet these requirements.

4. Accounts and Registration

  • You may need to create an account to access certain features.
  • You agree to provide accurate and up-to-date information.
  • You are responsible for all activity under your account.

5. User Content

“User Content” includes any music files, images, scans, setlists, or other materials you upload to FlipFlow.

  • You retain ownership of your User Content.
  • You grant FlipFlow a non-exclusive, worldwide, royalty-free license to use, store, display, and process your content solely to provide the Service.
  • You represent that you have the necessary rights to upload and use such content.

6. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation
  • Upload content that infringes intellectual property rights
  • Interfere with or disrupt the Service
  • Attempt unauthorized access to systems or data

7. Subscriptions and Payments

If FlipFlow offers paid features or subscriptions, fees and billing terms will be presented at the time of purchase. Payments are non-refundable except where required by law.

8. Modifications

We may update or modify the Service or these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

9. Intellectual Property

All intellectual property rights in the Service, including software, design, and branding, are owned by FlipFlow or its licensors. You may not copy, modify, or distribute any part of the Service without permission.

10. Disclaimer and Limitation of Liability

The Service is provided “as is” and “as available” without warranties of any kind. To the maximum extent permitted by law, FlipFlow shall not be liable for any indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify and hold harmless FlipFlow from any claims or damages arising out of your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms. You may stop using the Service at any time.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes shall be submitted to the competent courts of the Netherlands.
